Affiliate Partner Program

1. Introduction

These Terms and Conditions ("Agreement") govern your participation in the GlamUare Affiliate Partner Program ("Program") operated by GlamUare Pty Ltd ABN [ABN] ("GlamUare", "we", "us", or "our").

By submitting an application to the Program, ticking the acceptance checkbox, or using your affiliate referral link, you ("Partner", "Affiliate", "you") agree to be bound by this Agreement in full. If you do not agree, do not participate in the Program.

GlamUare reserves the right to modify these terms at any time. Continued use of your referral link after notification of changes constitutes acceptance.

3. Eligibility & Application

To be eligible for the Program you must:

• Be 18 years of age or older;
• Have a genuine audience of beauty industry professionals (e.g. salon owners, sole traders, beauty therapists, nail technicians, barbers, or similar);
• Agree to comply with all applicable Australian laws including the Australian Consumer Law and ACCC influencer marketing guidelines;
• Not be subject to any legal restriction that would prevent you from entering into a commercial agreement.

GlamUare reviews applications within 48 business hours. Approval is at GlamUare's sole discretion and may be declined without reason. Approved Partners will receive a unique referral code and access to the Partner Dashboard.

You may not participate in the Program on behalf of another person, business, or entity without prior written consent from GlamUare.

4. Commission Structure & Earnings

4.1 Initial Earnings Period (A$50 Accumulation)

Once a Referred Business has an active, published account on GlamUare, you will receive 100% of GlamUare Profit generated by that Referral's bookings until your cumulative earnings from that Referral reach A$50.00. At that point, a A$50.00 payout is triggered and your Initial Earnings Period for that Referral closes.

For example: if a Referred Business processes bookings generating A$200/month in total booking value, GlamUare earns 2.7% = A$5.40/month. You receive 100% of that A$5.40 each month until your total reaches A$50 (~9.3 months at this rate).

4.2 Commission Period

Once your Initial Earnings Period closes (i.e. you have accumulated A$50 from a given Referral and the A$50 payout has been triggered), the Commission Period begins. For the following 3 calendar months, you will receive 15% of GlamUare Profit attributable to that Referral, paid on the first Monday of each month.

Continuing the example above: at A$5.40/month GlamUare Profit, your 15% commission is A$0.81/month. At A$1,000/month booking value, GlamUare Profit is A$27/month and your commission is A$4.05/month.

4.3 Earning Period Summary

4.4 Conditions for Earning

• Earnings commence automatically once the Referred Business has an active, published GlamUare account. GlamUare determines this using platform data.
• A Referral must have signed up using your Referral Link. GlamUare has sole discretion to determine attribution.
• If a Referred Business ceases activity, closes their account, or is terminated by GlamUare for any reason, earnings from that Referral will stop immediately with no compensation.
• Commissions are calculated on GlamUare's actual received revenue net of refunds and chargebacks.
• GlamUare may adjust the platform fee rate (currently 2.7%) at any time. Earnings are always calculated on GlamUare's actual revenue, not a fixed rate.

5. Verification & Earnings Activation

Verification is handled automatically by GlamUare. No action is required from the Partner. Earnings for a Referral activate when:

1. The Referred Business signed up to GlamUare using your unique Referral Link;
2. The Referred Business has completed onboarding and has an active, published account on the GlamUare platform.

GlamUare uses platform data to confirm both conditions. Partners can view the status of each referral — including onboarding progress and publication status — in their Partner Dashboard. Earnings begin accumulating automatically from the date both conditions are met.

GlamUare has sole discretion to determine whether the attribution and publication conditions are met. Any attempt to manipulate attribution, create fraudulent referral accounts, or misrepresent referral status will result in immediate account termination and potential legal action.

6. Payouts

• Schedule: Payouts are made on the first Monday of each calendar month. Phase 1 (A$50 payout) triggers when your accumulated earnings from a Referral reach A$50 and is paid on the next first Monday. Phase 2 (15% commission) is paid on the first Monday of each of the 3 commission months.
• Minimum threshold: Payouts are only processed when your balance reaches A$50.00 or more. Balances below this threshold carry over to the following month.
• Methods: Australian Bank Transfer (BSB and account number). You must provide accurate bank details in your Partner Dashboard. GlamUare accepts no liability for failed payments caused by incorrect details.
• Currency: All amounts are in Australian Dollars (AUD) unless otherwise stated.
• Taxes: You are solely responsible for reporting and paying any tax obligations arising from your earnings. GlamUare may issue a Recipient-Created Tax Invoice (RCTI) where required. You agree to notify GlamUare if you are registered for GST.
• Withholding: GlamUare reserves the right to withhold payment during any investigation into suspected fraud, breach of this Agreement, or dispute.
• Unclaimed funds: Balances remaining unpaid for 12+ months due to invalid payment details may be forfeited at GlamUare's discretion, with 30 days prior written notice.

7. Partner Obligations

7.1 Compliance with Australian Consumer Law

You must comply with all applicable Australian laws, including the Australian Consumer Law (ACL) and ACCC guidelines on endorsements and influencer marketing. All promotional content that includes your Referral Link must clearly and prominently disclose your commercial relationship with GlamUare using "#ad", "#sponsored", "#partner", or equivalent disclosure.

7.2 Honest Representation

You must only make truthful and substantiated claims about GlamUare, its features, pricing, and benefits. You must not make guarantees about income, results, or features that are not expressly confirmed in writing by GlamUare. GlamUare's published pricing and terms are the authoritative source.

7.3 Prohibited Activities

The following are strictly prohibited:

• Self-referrals (referring your own business or businesses under your control);
• Incentivising sign-ups with personal financial payments or rewards not authorised by GlamUare;
• Spam, unsolicited bulk messaging, or cold outreach that violates the Spam Act 2003;
• Using paid search advertising that directly targets GlamUare branded keywords;
• Impersonating GlamUare or using GlamUare trademarks in domain names, social handles, or email addresses;
• Creating fake, dummy, or test referral accounts;
• Manipulating or attempting to manipulate tracking or attribution;
• Using cookie stuffing, forced clicks, or any fraudulent traffic generation technique.

8. Intellectual Property & Branding

GlamUare grants you a limited, non-exclusive, revocable, non-transferable licence to use GlamUare's name, logo, and approved marketing materials ("Brand Assets") solely for the purpose of promoting the Program in accordance with this Agreement.

You must use Brand Assets as provided in the Partner Dashboard Share Kit. You must not alter, distort, or create derivative works of any Brand Assets. Upon termination of this Agreement, your licence to use Brand Assets ceases immediately.

All intellectual property in the GlamUare platform, brand, and materials remains the exclusive property of GlamUare Pty Ltd. Nothing in this Agreement transfers any intellectual property rights to you.

9. Confidentiality

You agree to keep confidential any non-public information shared with you by GlamUare, including commission rates, platform data, referral performance data, and business strategies. This obligation continues for 2 years following termination of this Agreement.

10. Term & Termination

This Agreement commences on the date your application is approved and continues until terminated by either party.

Termination by you: You may terminate your participation at any time by notifying GlamUare at partners@glamuare.com. Any earned and approved balance at the time of termination will be paid out on the next scheduled payout date, provided the minimum threshold is met.

Termination by GlamUare: GlamUare may suspend or terminate your account immediately and without notice if you breach any provision of this Agreement, engage in fraudulent activity, or if GlamUare determines in its sole discretion that your participation is harmful to GlamUare, its users, or its brand. In the event of termination for cause, GlamUare may forfeit any unpaid balance.

Discontinuation of Program: GlamUare may discontinue the Program at any time with 30 days' written notice to active Partners. Earned commissions accrued before the discontinuation date will be paid out.

11. Limitation of Liability

To the maximum extent permitted by law, GlamUare's total liability to you under or in connection with this Agreement is limited to the total commissions paid to you in the 3 months preceding the event giving rise to the claim.

GlamUare is not liable for any loss of profits, indirect, incidental, special, or consequential damages arising from your participation in the Program, including (without limitation) loss of anticipated earnings, loss of business opportunity, or reputational harm.

You participate in the Program entirely at your own risk. GlamUare does not guarantee any minimum level of earnings.

12. Privacy

By participating in the Program, you consent to GlamUare collecting, storing, and using your personal information in accordance with the GlamUare Privacy Policy available at glamuare.com/privacy-policy. This includes your name, contact details, payment information, and referral performance data.

13. Amendments

GlamUare may update these terms at any time. Material changes will be notified via email to your registered address or through the Partner Dashboard at least 14 days before taking effect. Your continued use of the Program after the effective date of any change constitutes acceptance. If you do not accept the revised terms, you must stop using the Program and notify GlamUare at partners@glamuare.com.

14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

In the event of a dispute, both parties agree to first attempt resolution in good faith through direct negotiation. If unresolved within 30 days, the dispute may be referred to mediation before commencing legal proceedings.

15. Entire Agreement

This Agreement constitutes the entire agreement between you and GlamUare with respect to the Program and supersedes all prior representations, negotiations, and agreements, whether written or oral. If any provision is found to be unenforceable, the remaining provisions continue in full force.
